Enclosed please find a retail sample of The Butterfly Colony Six Caterpillar Kit. It is yours to keep and hopefuly include as a winning part of your current offerings. The initial feedback has been overwhelmingly positive and further enhanced our standing in the industry. We would like to introduce this new product to you and any that you are not already aware of. We expand our product line annually and welcome your suggestions.

We the owners/ creators of Butterfly Colony have spent years developing our individual businesses. We want you to know we respect all the efforts you to have put into your exhibits, stores and customer base. The following is our outline of how you will benefit by the inclusion of our products into your offerings and how we will protect your interests.

1. Our products are excellent and we believe are far superior to any that currently exists in the marketplace. We have built in considerable added value to the consumer in every aspect, blending the best professional items and educational resources. The web site is a major part of the experience and as an extension of the product will keep pace with any new product developments. Any product improvement will be added to all older versions of the packaging and sent to the ultimate consumer when they redeem their certificate for their caterpillars.
2. Every package has a unique certificate number which is tracked by our database and will lead directly to the original wholesale partner or distribution center. This unique number is necessary for the consumer to get the most important part of their purchase. Their unique number allows us to track sales, geographic information and most importantly future commissions for you.
3. You will share in all future sales that we can track by either the purchase of additional items when redeeming their certificate or from future purchases that are tracked by the same customer number which will remain with that buyer indefinitely.
   1. Example: When Customer A redeems their certificate we will have a record of what Wholesaler we sold to and any additional sales generated by Customer A. This will be recorded with appropriate Commission % in our Database to your credit.
   2. Each Wholesale Partner will have access to real time totals for every transaction where their Customers used their original certificate number.
   3. Customers will be encouraged by use of prizes, discounts and bonuses to retain and always use their original certificate or customer number.
   4. Our site will offer you the Wholesale / retail partner the ability to have your information shown to the customers that use your tracked Customer Numbers a landing page with your information on our web site. Our site is an extension of your entity and reinforce their loyalty to your store.
4. The retail sale price is fixed and we do not allow advertised discounts of any kind which would let some distributors undercut the efforts of other retailers. This fixed National Pricing will also give the consumer a better reason to make their purchase from you and not search out a discounted competitor. Every package will offer the same items.
   1. Example: Every product we offer to you must be sold at or above our National Price Platform - Our Butterfly Colony 6 Caterpillar growing kit is $27.00 retail. You may sell it for exactly $27 or above. Any advertised price discount even by 1 cent will violate the price agreement.
   2. You may offer promotional items associated with a purchase from your store but may not discount the items selling price which would undermine the Price Platform and reduce the value in the publics mind of the offerings.
   3. Within this framework your customer always has the incentive to purchase from your local store as they will save on shipping and will know that the price is fixed in the marketplace.
   4. CURRENT EXAMPLES - Insect lore and Carolina Biological both have partnered with distributors that have private labeled a caterpillar kit. The initial selling price was as much as $43 delivered, as in the case of "BugvilleButterfly" currently seen on National TV. However a lesser version of the same product was sold to Toys R US as a $20 retail item. But Toys R Us immediately marked it down to $14.99. Every wholesaler that carries the Bugville package must worry about their customers seeing the same product for considerably less than they would sell it and losing the trust of that customer.
   5. Special offerings for schools and charity, where discounts are necessary, for the inclusion of our products are by use of specially marked packaging and must be cleared prior to any widespread distribution. Butterfly Colony will furnish altered packaging for accurate tracking.
5. Any seller found undercutting our National Pricing Platform will have any outstanding certificates voided and commissions lost. Our site will immediately flag all their certificates. These remaining certificates will not be honored. These customers will be asked to give us information on how they came to acquire the certificates. This will also protect a retailer in case of theft of multiple units. We will monitor most online platforms and may purchase units to ensure they are not tampered with or altered in a manner that we find inappropriate. We also ask that you report any price dumping or discounts to selling price that you may observe.
6. Any Wholesaler may return for full purchase refund any excess stock that is unopened and in good condition at any time.
7. Our wholesale distribution is not widely offered and based on mutual trust.
